Client Acceptance / Handover Certificate

This page describes the standard Client Acceptance / Handover Certificate used by DXHUBX ICT LIMITED ("DXHUBX") when a project or deliverable is completed. It should be read together with the Acceptance and Deemed Acceptance clause of our Terms of Service. An issued certificate is confirmation of acceptance and handover — it is not a precondition to acceptance.
1. Purpose
The Client Acceptance / Handover Certificate records that the client has reviewed a deliverable, confirmed that it conforms to the agreed specification, and accepted it. It also marks the start of any warranty period and the handover of the deliverable, documentation, and (where agreed) credentials and access.
2. Acceptance
Upon delivery of a deliverable, the client has a review period (typically seven business days unless otherwise agreed in writing) to identify any material non-conformity against the agreed specification. If the client does not raise a written objection within the review period, the deliverable is deemed accepted in full, in accordance with our Terms of Service. Acceptance is effective from the date of acceptance (express or deemed), whether or not a certificate is physically issued.
3. Automatic Certificate
Once all of the following conditions are met, the Client Acceptance / Handover Certificate is automatically deemed to be issued with effect from the date of acceptance, without the need for a separate signed document:
- The project fees have been fully paid
- The deliverables have been handed over to the client
- The client has accepted the deliverables (expressly, electronically, or by deemed acceptance under our Terms of Service)
This means that a client is not disadvantaged if DXHUBX does not issue a formal certificate at the time of completion. Where DXHUBX has not issued a certificate for a completed and paid project, the certificate is automatically deemed to have been issued on the date of acceptance, and the warranty period starts from that date.
4. Requesting a Certificate
If DXHUBX has not issued a Client Acceptance / Handover Certificate for a project that has been completed, fully paid, and accepted, the client may request one at any time by contacting us at info@dxhubx.co.tz. DXHUBX will issue the certificate confirming the acceptance and handover, with the effective date of acceptance, without requiring the client to re-test or re-accept the deliverables.
5. Information Included
The certificate identifies:
- Project name / reference: the project or agreement reference
- Parties: client name and DXHUBX ICT LIMITED
- Deliverables accepted: the specific deliverables covered by the certificate
- Date of acceptance: the date the client confirmed acceptance
- Warranty period: the warranty start date and duration (if applicable)
- Outstanding items: any agreed minor items or follow-up actions, if any
- Signatures: authorised representatives of both parties
6. Effect of Acceptance
Where a certificate is issued and signed, the client confirms that the accepted deliverables conform to the agreed specification, except for any outstanding items recorded in the certificate. Acceptance (and any signed certificate) does not waive rights that cannot lawfully be waived, and does not apply to latent defects that could not reasonably have been discovered during the review period. The effect of acceptance is the same whether it is recorded on a signed certificate, accepted electronically, or deemed under our Terms of Service.
7. Handover
On acceptance and, where applicable, upon full payment, DXHUBX will hand over the deliverables, relevant documentation, and any agreed credentials and access in accordance with the Hosting, Domains, and Account Ownership clause of our Terms of Service. Where DXHUBX retains administration accounts, transfer of control is completed once all outstanding fees are settled.
8. Electronic Acceptance
Acceptance may be given electronically (by email or online confirmation) by an authorised representative of the client, in accordance with the Electronic Communications clause of our Terms of Service. Acceptance by email or online confirmation has the same effect as a signed certificate.

Note: A Client Acceptance / Handover Certificate is issued to confirm acceptance and handover of a completed project. Where a certificate has not been issued for a completed, fully paid, and accepted project, the certificate is automatically deemed to have been issued on the date of acceptance, and the client may request a copy at any time. Nothing here is intended to limit rights that cannot lawfully be excluded under Tanzanian law.
