This Project Statement of Work ("SOW") describes the standard structure of a project-specific SOW issued by DXHUBX ICT LIMITED ("DXHUBX"). Each engagement is defined by a signed SOW that is incorporated into the service agreement and read together with our Terms of Service and, where applicable, the Software Development Agreement.
1. Project Overview
Each SOW identifies the client, the project name, the parties, and a summary of the work to be performed. The overview provides context but is not itself a specification; the binding requirements are those described in the Scope of Work and Deliverables sections below.
2. Scope of Work
The SOW defines the specific work DXHUBX will perform, including the features, functionality, integrations, and tasks to be delivered. Anything not described in the SOW is out of scope. Marketing material, indicative pricing, and estimated delivery periods on our website are not binding specifications unless incorporated into the signed SOW. Work outside the agreed scope is a Change Request and may require additional fees and time.
3. Deliverables
The SOW lists the deliverables to be produced, such as software, websites, mobile applications, integrations, documentation, reports, or infrastructure. Deliverables are accepted in accordance with the Acceptance and Deemed Acceptance clause of our Terms of Service.
4. Milestones and Timeline
The SOW sets out key milestones and indicative delivery dates. Timelines depend on the client providing content, materials, approvals, credentials, and access on time. Client delays move the timeline accordingly, as described in the Client Delay Protection clause of our Terms of Service.
5. Fees and Payment Schedule
The SOW states the total fees and the payment schedule, including any deposit, milestone payments, and final payment. Payment terms, late payment, and suspension rights are set out in our Terms of Service.
6. Acceptance Criteria
The SOW may define specific acceptance criteria for deliverables. In the absence of specific criteria, acceptance is assessed against the agreed specification, and the review and deemed acceptance provisions of our Terms of Service apply.
7. Client Responsibilities
The SOW identifies the items the client must provide, including content, materials, approvals, credentials, and access. The client must provide these within the agreed timeframes and warrants it has the necessary rights and licences to everything it supplies.
8. Assumptions and Exclusions
The SOW states assumptions on which the fees, timeline, and scope are based, and lists any items expressly excluded from the scope. Changes to assumptions may require a Change Request and revised fees or timeline.
9. Support and Warranty
The SOW describes any warranty period and any ongoing support arrangements. Ongoing support is provided under a separate support agreement referencing our ICT Support / Maintenance SLA. Warranty boundaries are defined in our Terms of Service.
10. Signatures
The SOW is binding once signed by authorised representatives of both parties, or accepted electronically in accordance with the Electronic Communications clause of our Terms of Service. In the event of a conflict, the order of precedence in our Terms of Service applies.
